End User Licence Agreement

1. Parties
This End User Licence Agreement ("Agreement") is between Paraiso Group Ltd., 65-67 Church Street, Sutton in Ashfield, Notts, NG17 1FE, United Kingdom ("Licensor"), and any person or organisation granted access to software made available by the Licensor ("Licensee").
2. Licence grant
Subject to the terms of this Agreement, the Licensor grants the Licensee a limited, non-exclusive, non-transferable, revocable licence to use the software the Licensor makes available to the Licensee ("Software"), for the purpose for which it is provided.
3. Restrictions
The Licensee must not:
- sub-license, sell, rent, or otherwise make the Software available to any third party except as expressly permitted by the Licensor;
- reverse engineer, decompile, or disassemble the Software except to the extent permitted by applicable law;
- use the Software unlawfully, or for any purpose other than that for which it was provided;
- remove or alter any proprietary or copyright notices in the Software.
4. Intellectual property
All intellectual property rights in the Software remain vested in the Licensor. This Agreement grants a licence to use the Software only and does not transfer any ownership of the Software to the Licensee.
5. No warranty
The Software is provided "as is", without warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. The Licensor does not warrant that the Software will be error-free, uninterrupted, or free from defects.
6. Limitation of liability
To the fullest extent permitted by applicable law, the Licensor shall not be liable for any indirect, incidental, consequential, or special loss or damage arising out of or in connection with the use or inability to use the Software, even if the Licensor has been advised of the possibility of such loss or damage.
7. Termination
The Licensor may terminate this licence at any time by giving written notice to the Licensee. The licence terminates automatically if the Licensee breaches any term of this Agreement. On termination, the Licensee must cease all use of the Software.
8. Third-party rights
This Agreement does not confer any rights on any third party under the Contracts (Rights of Third Parties) Act 1999.
9. Governing law and jurisdiction
This Agreement is governed by the law of England and Wales. The parties submit to the exclusive jurisdiction of the courts of England and Wales to resolve any dispute arising under or in connection with this Agreement.
10. Entire agreement
This Agreement constitutes the entire agreement between the parties relating to the Software and supersedes all prior agreements, representations, or understandings, whether written or oral.
